Participant/User Terms and Conditions

COL Online Rewards

Overview: The Citrix Online ("COL") rewards redemption program is managed by this Online Rewards application developed and maintained by Online Rewards company. This program is made available to qualified COL participants. Online Rewards reserves the right to modify any of these terms and conditions at any time, with or without notice.

Definitions:

1. COL Entity/ies means Citrix Online, LLC, Citrix Online UK Limited, Citrix Online Ireland Limited, Citrix Online Germany GmbH, Citrix Online Aus Pty Ltd, or any Citrix Systems entity which employs persons assigned to perform services for the benefit of Citrix Online.
2. OR Program means the Online Rewards program application for COL Entities.
3. Participant means any worldwide Sales and Services employee of a COL Entity assigned to work in the Sales & Services organization of such COL Entity.
4. Reward Point(s) means points available for distribution to Participants based on achievement relating to activities, sales or other articulated criteria associated with the Citrix Online products and services

Eligibility: Eligibility for the COL OR Program is limited to current Participant being employed by a COL Entity and being so employed in the Sales & Services organization of such COL Entity. Should Participant's employment with a COL Entity be terminated for any reason or transferred to a department other than the Sales & Services organization, Participant's eligibility shall terminate on such date of termination or transfer.

Change and/or Disputes: COL reserves the right, without prior notice, to change or discontinue the OR Program at any time, for any reason. All questions and/or disputes regarding Participant's eligibility, the accumulation of points under the OR Program, redemption of points, or any other matter relating to the OR Program shall be lodged with Participant's manager and will be resolved by Sales & Services management, with the final resolution determination being made the VP and GM Sales & Services (or other comparable position). Any determination made by the VP and GM Sales & Services will be final.

Enrollment in the OR Program: Each eligible Participant shall be automatically enrolled in the OR Program. Participant's initial login identification shall be participant's business email address which will authorize access to the OR Program website managed by Online Rewards. Upon Participant completing his/her initial login, Participants may thereafter create his/her unique username and personal password.

Earning and Accumulating Reward Points: Participants will have the opportunity to earn and accumulate reward points. Various programs will be rolled-out by Sales & Services management from time to time based on then-current incentives for the Sales & Services organization. Incentive programs may be tailored for particular product and services groups, geographic regions, customer profiles, etc., and such tailoring shall be determined in the sole discretion of Sales & Services management.

Redemption and Deduction of Reward Points:

1. Any Reward Points accumulated, but not redeemed on or before Participant's final date of employment with a COL Entity or transfer outside the Sales & Services organization, shall be forfeited and not available for redemption or transfer.
2. Reward Points are only redeemable for merchandise offered in the OR Program online catalog.
3. Reward Points accrued by a Participant are not earnings until such time as Participant redeems his/her accumulated points, or a portion thereof, for merchandise offered in the OR Program online catalog.
4. Reward Points are not redeemable or transferable into cash, or cash equivalents, except in circumstances where the OR Program redeemable merchandise expressly states that a cash or cash equivalent is in fact included in a specified reward.
5. Reward Points are not transferrable to any other Participant, COL Entity or Citrix Systems employee, Participant's family member(s), entity(ies), or any other person.

Claiming a Reward:

1. Participant may redeem an item(s) from those described in the online catalog at any time during Participants eligibility and up to the number of accumulated Reward Points.
2. Specific merchandise is subject to availability and substitutions may be made based on availability or market conditioned.
3. COL reserves the right to modify merchandise available in the Reward Points online catalog at any time and without notice

Miscellaneous:

1. Statement of OR Program Reward Points Earned. The OR Program website provides eligible Participants with details of transactions, as well as COL Reward Point balances.
2. Termination of OR Program. COL reserves the right to terminate the OR Program at any time without prior notice to Participants. If the OR Program is suspended or terminated, any accumulated, but unredeemed Reward Points shall be redeemed within thirty (30) days of the date of termination of the OR Program by Participant or such Reward Points shall be forfeited by Participant.
3. OR Program Participation Tracking. It is the responsibility of Participant to redeem his/her Reward Points for items from the OR Program online catalog. Accumulated Reward Points may only be redeemed for merchandise presented in the OR Program online catalog.
4. Taxes. All merchandise redeemed through the OR Program shall be subject to applicable federal, state and/or local withholding and taxes. Payment of taxes resulting from Participant's redemption of Reward Points for merchandise shall be the sole responsibility of Participant. The COL Entities will report Participant earnings associated with his/her redemption of Reward Points as required under applicable laws in each of the geographies where Participants are employed.
5. Shipping and Handling. Merchandise redeemed under the OR Program is subject to shipping and handling charges which charges are included in the point value associated with each item in the online catalog and are included in the overall value of the item.
6. Email Notices. When Participant visits this website or send emails to Online-Rewards, Participant is communicating with Online Rewards electronically. Participant consents to receive communications from Online Rewards electronically. Online Rewards will communicate with participant by email or by posting notices on this website. Participant agrees that all agreements, notices, disclosures, and other communications that Online Rewards provides to Participant electronically satisfy any legal requirement that such communication be in writing.
7. Confidentiality and Acceptance of Participant User License Agreement. Participant acknowledges that he/she is responsible for maintaining the confidentiality of his/her account and password and shall restrict access to Participant's account. Participant agrees and accepts responsibility for all activities that occur under Participant's account and password.
8. Privacy Notice. This website is housed and operated by Online-Rewards on behalf of the COL Entities. The information collected on this website will be used by the COL Entities in connections with the Citrix Online OR Program.
9. Copyright. All textual, graphical and other content appearing on this www site, unless otherwise noted, are the property of Citrix Online.
10. Acceptance of These Terms and Conditions. By Participant accessing and using the OR Program, Participant hereby accepts and agrees to these term and conditions.
